Documents needed for applying to set up equity joint venture and contractual joint venture enterprises
Application report for establishing Chinese-foreign cooperative enterprise signed by legal representatives of cooperative parties.
Letter of intention or agreement.
Business registration or business license(copy)issued by the local government;Foreign investor in personal name should show valid ID card (copy).
Capital Creditability documents of all parties.(from bank of the investor’s country,or assets evalution cdrtificate;foreign personal investor should provide the bank deposit proof ; If Chinese party uses state assets as cooperative term, they must provide the state-oened property valuation proof and notarized document).
Legal status certificate of legal representative.
Foreign investor’s Legal status certificate of legal representative( If it has been indicated in business license,it needn’t offer any more.)
Project proposal (feasibility study report).
Certificate for registering enterprise’name.
Name list of members of board of directors (with every members’s signature on it),appointment letter for the member(s) of Chinese and foreign investor’s board of directors(attaching certificate of legal representative’s signature,and Chinese appointment of certificate should be confirmed by charged department). Engagement certificate or appointment certificate of general manager or vice general manager (with chairman of the board and assistant chairman of the board personal signature after the decision board of directors) Resume submitted by Chinese personnel supervising department and with copy of their ID card.
Form for record.
Contract, constitution,accessories and packing of imported equipment.
Form for business registration.
Suggestions made by relevant supervising sections to environment protection,public security 1, fire fighting,labor safety,hygiene facilities and etc.
Others(confirmation leffer fo compatriots in Taiwan and overseas Chinese).

Copy of valid business registration or business license issued by the local government;Copy of valid ID card.
Captital credulity documents of Investor.
Copy of legal status document certificate of legal representative and ID card of legal representative of foreign investor.
Certificate for registering the enterprise’name.
Appointment letter for the member(s) of Chinese and foreign investor’s board of directors attaching certificate of legal representative’s signature,(with every director’s signature),engagement certificate or appointment certificate of general manager or vice general manager.

出资规定：Stipulation of Capital Contribution
投资总额：包括投资者认缴的投资额，厂房和其它建筑设施，设备及其它物料，专利、商标等工业产权，专有技术、场地、土地使用权。以实物、工业产权、专有技术等作价出资的，必须出具所有权、使用权、处理权及作价价值的有效法律文件和说明。
Total Investment: Include the amount of investment recognized by the investor,the factory workshop and other construction facilities,equipment and its material,industry property for patent,trademark and etc,patented technology,field and land. Incase of making contribution in practicality,industrial property,and patented technology as capital,the joint venture partners shallprovide valid law document proofs showing their ownership,right of usage,right of disposition and evaluation.
注册资本：注册资本可以等于投资总额，也可以小于投资总额，具体规定如下。
出资期限:合资、合作企业必须在合同、章和中（独资企业在章程中）明确出资期限。合同、章程规定一次缴清的，必须在营业执照签发之日起个月内缴清。合同、章程规定分期缴付的，第一期出资不得低于各方认缴出资额的，并在营业执照签发之日起个月内缴清；其余出资须按合同，章程分期缴清，具体规定如下：
Time Limit of Captial Contribution:Joint venture partners shall agree in the venture contract atime schedule that each partner should follow in putting up their capital for the joint venture. In case the joint venture contract stipulates that contribution of shall be made in one single installment, all partners to the joint venture shall be made in several separate installments, the firstinstallment from each joint venture partner shall not be less than 15% of their respective agreed amounts of contribution, All joint venture partners shall put up their required amounts of capital for the first installment within three months upon issuance of the joint venture’s business license. Others must be handed over in several separate installments in accordance with contract, The details is as follows:
